(“OMNI”), a Canadian innovator in waste-to-value gasification technology, is pleased to announce that it has successfully completed its financial restructuring proceedings with no debt, new equity funding, and a focused project execution strategy.
This marks a major milestone in OMNI’s journey, solidifying its position as a leading provider of advanced thermal conversion systems for producing low-carbon fuels from waste.
Stronger Than Ever
The restructuring process, initiated in late 2024, enabled OMNI to complete a comprehensive financial and strategic review, resulting in a recapitalized business structure with consolidated ownership. As of March 12, 2025, OMNI emerged from restructuring with a clean balance sheet, backed by equity financing from its majority shareholder. This commitment also includes forward funding to support OMNI’s project development and commercialization plans.

Focused Execution and Project Momentum
Since emerging from restructuring, OMNI’s leadership team has streamlined operations, enhanced the performance of its proprietary OMNI300 gasifier, and sharpened its focus on high-potential projects across North America, Europe, and Asia. These projects are expected to reach Front-End Engineering Design (FEED) milestones in 2026, with Final Investment Decisions (FID) targeted by late 2026.
- North America:
In the U.S., OMNI is developing a flagship OMNI300 project in North Dakota to convert approximately 300 tonnes per day of decommissioned railroad ties into renewable natural gas (RNG), leveraging the region’s carbon sequestration infrastructure. In Canada, a similar-scale project in Alberta is progressing at pace and will process diverted municipal solid waste (MSW) to produce RNG and hydrogen. - Europe:
OMNI is working with customers in Spain and the Czech Republic to integrate OMNI gasification into clean methanol production facilities in cooperation with established gas to liquids technology providers. - Asia:
Through its affiliate Enerwaste, OMNI is supporting hydrogen-from-waste projects across the region based on OMNI syngas technology.

With over 20 years of in-house engineering and development, OMNI is uniquely positioned to serve the growing global demand for low-carbon fuel solutions. The OMNI300 gasifier converts unrecyclable waste into high-quality synthetic gas (syngas), which can be refined into hydrogen, RNG, SAF, methanol, and electricity—all while achieving low or negative carbon emissions.
OMNI remains the only company to have successfully produced clean low-carbon syngas from raw MSW at commercial scale, as demonstrated at its Trail Road facility in Ottawa from 2007–2014.
